Important News for Wisconsin Business Corporations and LLCs
The Wisconsin Department of Financial Institutions (DFI) is committed to efficiency and accountability. That is why DFI is partnering with the One Stop Business Portal to make it easier to create and maintain a business in Wisconsin by harnessing technology that allows a business owner to interact with multiple state agencies in just "one stop!"
As part of this partnership, all annual reports for Domestic Business Corporations and Limited Liability Companies MUST be filed through the Wisconsin One Stop Business Portal at http://Openforbusiness.wi.gov/DFIannualreports beginning January 3, 2017. Click Here for FAQ's regarding this change.
Year-end Corporate Filings
As the end of the year approaches, please keep in mind that the volume of documents is much heavier.
In your best interest, submit any filings as early as possible. For most chapters of law, a Delayed Effective Date of up to 90 days from the date of receipt may be declared within the document.
The last day to receive a document to be effective on December 31st or January 1st is Friday, December 30th. That document must be in a condition for filing. If it has to be returned for correction, the new received date will be its effective date.
The office is closed Monday, December 26th, 2016 and Monday, January 2nd, 2017.
The Corporation Section of the Division of Corporate & Consumer Services at the Department of Financial Institutions is the filing office for the organizational instruments to create corporations, limited partnerships, limited liability partnerships, and limited liability companies, as well as documents to amend those charters in some respect or other. The unit also licenses foreign (out-of-state) organizations desiring to transact business in Wisconsin.
Cash transactions will no longer be accepted
As of January 3, 2017, The Department of Financial Institutions will no longer accept cash for filing and copying services. Customers that come to the Department to complete these transactions are encouraged to use alternate payment options that include the use of personal checks, cashier checks and money orders.

This transition is made to simplify and reduce the risk to transactions management, and enhance the safety and security of our customers.

Update on Revised Uniform Partnership Act
2015 Wisconsin Act 295, which repeals and recreates the Wisconsin Uniform Partnership Act (Chapter 178, Stats.), took effect July 1, 2016. Act 295 adopts, with modifications, the Revised Uniform Partnership Act, as amended by the National Conference of Commissioners on Uniform State Laws in 2013. The Act governs the creation and operation of partnerships, including limited liability partnerships.
A partnership formed on or after January 1, 2018, will be governed by Chapter 178, as recreated by the Act. A partnership formed prior to January 1, 2018, also will be governed by the recreated Chapter 178, beginning on January 1, 2018, unless the partnership elects to be governed by the recreated Chapter 178, prior to the date. However, a partnership formed prior to January 1, 2018, may choose to continue to be governed by prior law rather than by the recreated Chapter 178.
